These Terms and Conditions ("Terms") govern your access to and use of the websites, platforms, and services operated by Glass Media 360, LLC ("Glass Media 360," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
By accessing our website or using any Glass Media 360 service, you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to comply with these Terms and all applicable laws and regulations.
Glass Media 360 provides technology consulting, data intelligence, media services, and platform solutions including but not limited to HealthLane, LogiTrack Lx, ContentCx, and ListenPay. The specific terms governing each platform or service engagement are set forth in separate service agreements or statements of work executed between Glass Media 360 and the client.
All content on our websites and platforms — including text, graphics, logos, software, and data — is the exclusive property of Glass Media 360 or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
If you create an account on any Glass Media 360 platform, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.

Fees for Glass Media 360 services are set forth in applicable service agreements. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments are subject to interest at the rate of 1.5% per month. We reserve the right to suspend services for accounts with overdue balances.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the engagement. This obligation survives termination of the service relationship for a period of three (3) years, except for information that becomes publicly available through no fault of the receiving party.
Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by law, Glass Media 360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the fees paid by you to Glass Media 360 in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Glass Media 360 and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Hamilton County, Tennessee.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, by direct communication. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
